TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEXFUL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE PUBLIC SITE.

OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM TERMS OR YOUR USE OF THE PUBLIC SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Lexful and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys fees) arising from: (a) your breach of Terms; (b) any content you submit through public-facing features; or (c) your use of the public site.

We may block access to, remove content from, or suspend availability of the public site at any time, for any reason, including maintenance, security, or legal requirements. Any termination or suspension will not limit any rights or remedies available to us at law or in equity.

13. Governing Law and Dispute Resolution

Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from or related to Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts.

14. General Provisions

• Severability. If any provision of Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Entire Agreement. Terms constitute the entire agreement between you and Lexful with respect to your use of the public site, except to the extent a separate subscription or license agreement applies.
• No Waiver. Our failure to enforce any provision of Terms will not constitute a waiver of our right to enforce it in the future.
